{"id":5105,"date":"2018-10-30T06:00:49","date_gmt":"2018-10-30T11:00:49","guid":{"rendered":"http:\/\/www.beerbusinessunplugged.com\/?p=5105"},"modified":"2018-10-27T09:01:12","modified_gmt":"2018-10-27T14:01:12","slug":"an-expert-knows-all-the-answers-if-you-ask-the-right-questions","status":"publish","type":"post","link":"https:\/\/www.beerbusinessunplugged.com\/?p=5105","title":{"rendered":"An expert knows all the answers &#8211; if you ask the right questions."},"content":{"rendered":"<p><a href=\"http:\/\/www.beerbusinessunplugged.com\/?attachment_id=5107\" rel=\"attachment wp-att-5107\"><img data-attachment-id=\"5107\" data-permalink=\"https:\/\/www.beerbusinessunplugged.com\/?attachment_id=5107\" data-orig-file=\"https:\/\/i0.wp.com\/www.beerbusinessunplugged.com\/wp-content\/uploads\/2018\/10\/Bad-Beer.jpg?fit=640%2C418&amp;ssl=1\" data-orig-size=\"640,418\" data-comments-opened=\"1\" data-image-meta=\"{&quot;aperture&quot;:&quot;0&quot;,&quot;credit&quot;:&quot;&quot;,&quot;camera&quot;:&quot;&quot;,&quot;caption&quot;:&quot;&quot;,&quot;created_timestamp&quot;:&quot;0&quot;,&quot;copyright&quot;:&quot;&quot;,&quot;focal_length&quot;:&quot;0&quot;,&quot;iso&quot;:&quot;0&quot;,&quot;shutter_speed&quot;:&quot;0&quot;,&quot;title&quot;:&quot;&quot;,&quot;orientation&quot;:&quot;0&quot;}\" data-image-title=\"Bad Beer\" data-image-description=\"\" data-image-caption=\"\" data-medium-file=\"https:\/\/i0.wp.com\/www.beerbusinessunplugged.com\/wp-content\/uploads\/2018\/10\/Bad-Beer.jpg?fit=300%2C196&amp;ssl=1\" data-large-file=\"https:\/\/i0.wp.com\/www.beerbusinessunplugged.com\/wp-content\/uploads\/2018\/10\/Bad-Beer.jpg?fit=640%2C418&amp;ssl=1\" decoding=\"async\" loading=\"lazy\" class=\"alignnone wp-image-5107\" src=\"https:\/\/i0.wp.com\/www.beerbusinessunplugged.com\/wp-content\/uploads\/2018\/10\/Bad-Beer.jpg?resize=396%2C259\" alt=\"\" width=\"396\" height=\"259\" srcset=\"https:\/\/i0.wp.com\/www.beerbusinessunplugged.com\/wp-content\/uploads\/2018\/10\/Bad-Beer.jpg?resize=300%2C196&amp;ssl=1 300w, https:\/\/i0.wp.com\/www.beerbusinessunplugged.com\/wp-content\/uploads\/2018\/10\/Bad-Beer.jpg?w=640&amp;ssl=1 640w\" sizes=\"(max-width: 396px) 100vw, 396px\" data-recalc-dims=\"1\" \/><\/a><\/p>\n<p>It was again reported last week that Reyes made another major purchase, this time buying the rights for Constellation\u00a0Brands in southern California from three wholesalers: Markstein, Triangle, and Beauchamp.\u00a0 \u00a0In all, these purchases represent just under six million cases of STZ products.<\/p>\n<p>It is also estimated that Reyes paid up to $37 per case which translates to approximately seven times GP for the STZ brands.\u00a0 In doing the math, Reyes paid $200 million for these products.\u00a0 Did Reyes overpay or not?<\/p>\n<p>Traditional wisdom has always stated that if the buyer can recoup their investment within five years, then the purchase was considered a \u201cgood deal.\u201d\u00a0 In today\u2019s market, however, if a distributor is a long-term player, meaning they have no intention of selling-out, the traditional ROI methods can be thrown out.<\/p>\n<p>Today, if given the opportunity to purchase STZ brands, a wholesaler might look at this as a once in a once in a lifetime chance and would surely pay whatever the asking price.\u00a0 Take for example, the AB wholesaler who, years ago, turned down the Model brands.\u00a0 This represented what many at the time thought was an unrealistic price.\u00a0 If those wholesalers had a mulligan, one would speculate that they would now write the check.<\/p>\n<p>Reyes paid the wholesalers what some have called a \u201cpremium multiple.\u201d\u00a0 Obviously, this multiple was not in dispute as this deal had been\u00a0negotiated and agreed upon.<\/p>\n<p>In past decades, when a multiple was in dispute, the usual method of resolution was through the courts.\u00a0 Such disagreements were typically resolved using industry expert witnesses who determined a range of value.\u00a0 Some experts used DCF as a way to determine the value and others used ROI.\u00a0 In recent years, however, several courts have determined that the ROI projections represented a better value for a brand over the DCF method.\u00a0 If the multiple is at seven times or more, neither party seems to have an issue with that valuation.<\/p>\n<p>At the recent Beer Business Daily&#8217;s Distributor Productivity conference, Joe Thompson, John O\u2019Conner, and I had the opportunity to visit.\u00a0 The three of us, along with Mike Mazzoni, were the expert witnesses in many of the beer industry disputes on valuations over the past 30 years.
